Abstract

This study examines how takeover decisions are influenced by the quality of information in target firms’ earnings. We show that bidders prefer negotiated takeovers in deals involving targets with poor earnings quality. Moreover, earnings quality and takeover premiums are negatively related in negotiated takeovers, suggesting that bidders obtain valuable private information through negotiations. We also find that bidders share information risk with target shareholders by paying with more equity for targets with poor earnings quality. These findings are driven primarily by the asymmetric information component of earnings quality (as opposed to the symmetric component) and are observed mainly in interindustry takeovers, where asymmetric information concerns are greater, rather than in intra-industry takeovers. We conclude that targets’ earnings quality affects bidders’ takeover decisions, particularly in cases of large asymmetric information between targets and bidders. 1 Introduction

Acquisition decisions rank among the most critical investment decisions made by firms. Before acquiring a company, bidders face important choices relating to the type of bid, the offer premium, and the method of payment. Such choices are likely to depend upon the quality of information available to bidders, as illustrated by the prevalence of anecdotal evidence where takeover bids are conditioned upon additional disclosures by the target.1 In contrast to the copious anecdotal evidence, there is relatively little academic evidence on the role of targets’ information quality in takeover decisions.2 In this study, we address this issue by examining how the quality of targets’ earnings, an important source of information in takeovers, affects bidders’ takeover decisions. Although information quality is likely to impact corporate decisions in general, takeovers provide an interesting context in which to study its effects on managerial decision-making, since a subset of the conditioning information, namely financial statements, is observable. Financial reports are by no means the only source of information used in takeover decisions, but they are likely to be an important source.3 The estimation of synergies and other benefits, for example, is often based on the financial information available about the target (see, e.g., Koller et al. 2005, pp. 436–443). The role of financial statements is likely to be even more important in deals where the target is either unwilling or unable to provide reliable inside information. Thus we focus on the quality of targets’ financial reporting to capture the quality of information available in takeovers. More specifically, we examine how targets’ earnings quality, as measured by the Dechow and Dichev (2002) and McNichols (2002) methods,4 affects acquirers’ decisions along three key dimensions: (i) takeover method, (ii) offer premium, and (iii) payment method. To develop our hypotheses, we follow Rogo (2009) and decompose a bidder’s uncertainty arising from a target’s earnings quality into two components: (i) asymmetric uncertainty, which reflects the informational advantage of target managers relative to other parties, including bidders, and (ii) symmetric uncertainty, which reflects the uncertainty faced equally by target managers and other parties. چکیده

این مطالعه آزمایش می کند که چگونه تصمیمات اتخاذ شده تحت تاثیر کیفیت اطلاعات در درآمد هدف شرکت ها قرار می گیرند. ما نشان می دهیم که پیشنهاد (خرید)‌کننده ها  تحویل گیرنده  های مذاکره شده  را در معامله ها و با کیفیت درآمد ضعیف ترجیح می دهند. بعلاوه، کیفیت درآمد و مزایا و حق العمل های تحویل گیرنده  ارتباط منفی در تحویل گیرنده های تبدیل به نقد شده دارند. ما هم چنین دریافتیم که پیشنهاد کننده ها ریسک اطلاعات را با سهامداران هدف با پرداخت تساوی حقوق بیشتر برای هدف هایی با کیفیت درآمد ضعیف تسهیم می نمایند. این نتایج به طور عمده از ترکیب اطلاعات غیرمتقارن کیفیت درآمد بدست آمدند (برخلاف مولفه یا جزترکیبی متقارن)، و اصولا در تحویل گیرنده  های بین صنایع مشاهده شده اند، جایی که نگرانی های اطلاعات غیرمتقارن در مقایسه با Tهای صنعت  داخلی بیشتر می باشد. ما نتیجه گرفتیم که کیفیت درآمدهای هدف بر تصمیمات تحویل گیرنده  پیشنهاد کننده ها بخصوص در موارد اطلاعات غیرمتقارن زیاد بین هدف ها و پیشنهاد کننده ها تاثیر می گذارد

1مقدمه

درجه بندی تصمیمات  گرفته شده در بیان تصمیمات مبلغ سرمایه گذاری بحرانی تر توسط شرکت ها ایجاد شده است. قبل از اکتساب یا بدست آوردن شرکت، پیشنهاد کننده ها با گزینه های مهم مربوط به نوع مزایده (پیشنهاد)، حق العمل پیشنهاد و روش        پرداخت مواجه می شوند. چنین گزینه هایی احتمالا بستگی به کیفیت اطلاعات در دسترس پیشنهاد کننده ها دارند، همانطور که توسط شیوع ملاک حکایتی نشان داده شده است که پیشنهاد های تحویل گیرنده  مشروط به افشاء سازی های دیگر توسط هدف 1 می باشند. در مقابل گواهی و شواهد حکایتی فراوان، شواهد و گواه نسبتا آکادمیک کمی در مورد کیفیت اطلاعات هدف ها در تصمیمات تحویل گیرنده  وجوددارد. در این مطالعه، ما این پی آمد را با آزمودن اینکه چگونه کیفیت درآمدهای هدف ، یک منبع مهم اطلاعات در تحویل گیرنده  ها، بر تصمیمات تحویل گیرنده  پیشنهاد کننده ها تاثیر می گذارد
